Gunnebo AB is listed on the OMX Nordic Exchange and the Group's corporate governance is based on Swedish legislation, the listing agreement with OMX Nordic Exchange, the Swedish Code of Corporate Governance (the Code), incorporation and other relevant regulations.
The group's board and management, is intended to comply with the requirements of the OMX Nordic Exchange, shareholders and other stakeholders and the company. Gunnebo follow the Code's provisions in all respects.
The Code is based on the comply or explain principle. Its rules are based primarily on the provisions of the Swedish Companies Act that regulate how companies are organised, and also on Stockholmsbörsen’s listing requirements and the Association of Swedish Authorised Public Accountants’ rules. For the most part, it is closely modelled on the rules and practices that are applied in most developed economies.
